These Terms and Conditions (“Terms”) govern the use of the architectural and interior design services (“Services”) provided by PT Vander Rohe Studios, the owner of the ROH brand (“ROH”, “we”, “us”, “our”), located at Jalan Raya Sangingan 34a, Ubud Bali 80571, Indonesia. By engaging in our Services, you (“Client”, “you”, “your”) agree to these Terms.

1. Services Offered

ROH provides architectural design and interior design services.

2. Scope of Work

The Services will be provided according to the agreed scope outlined in the proposal or project agreement signed by the Client. Any changes or additions to the scope of work may result in additional fees and timelines, which will be agreed upon in writing by both parties before implementation.

3. Fees and Payment

A detailed cost estimate will be provided prior to the commencement of work.

A deposit of 50% of the total fee is due upon signing the project agreement, 25% upon completion and approval of the conceptual phase, 15% at the completion of Cad Drawings and Specification Documentation and 10% after completion of the design phase and commencement of construction. We will provide a support package during construction with a monthly 2 hour site visit, depending on the project location and timeline.
We offer a monthly site visit package (2-4 times per month) during construction. This is NOT INCLUDED in the architectural and design fees unless stated otherwise.
Change orders will incur an extra fee
All packages include a standard and default 3-revision round agreement.
Payments are due as outlined in the project agreement, with the final balance due upon completion of the project or as otherwise agreed.
Payments are accepted in IDR, EUR and USD only and are to be deposited into an Indonesian Account.
Late payments may incur a penalty of 5% per week of the overdue amount, or work will be halted.

4. Client Responsibilities

The Client agrees to provide accurate and complete information to ROH, including but not limited to design preferences, budget constraints, and other relevant details.
The Client is responsible for securing any necessary permits, approvals, or third-party services required for the project unless otherwise agreed.
The Client agrees to promptly respond to requests for decisions, approvals, and feedback, as delays may affect the project timeline.

5. Project Timeline

Timelines are estimated and may vary depending on the complexity and nature of the project. ROH will make every reasonable effort to meet agreed deadlines but is not liable for delays caused by circumstances outside our control, including but not limited to weather, supply chain delays, or changes requested by the Client.

6. Intellectual Property

All designs, plans, and creative work produced by ROH remain the intellectual property of PT Vander Rohe Studios unless otherwise stated in the project agreement.
The Client is granted a non-exclusive, non-transferable license to use the deliverables for the intended purpose of the project. Any additional use, modification, or reproduction of the designs outside the agreed scope requires written consent from ROH.
ROH reserved the right to visit a site for documentation purposes in any way, shape or form. After project has been finalized, client agrees to allow ROH studio and associates to visit the finalized project for a photo/videoshoot.

7. Liability and Indemnification

ROH will perform Services with reasonable skill and care, but we are not liable for any damages, loss, or costs arising from inaccuracies, omissions, or delays in the provision of Services.
The Client agrees to indemnify and hold ROH harmless from any claims, damages, or costs arising out of or related to the use of the designs, including but not limited to third-party disputes, claims of intellectual property infringement, or accidents occurring due to design elements.
ROH shall not be held liable for any indirect, incidental, or consequential damages, including loss of profits, arising from the Services provided.

8. Confidentiality

ROH agrees to maintain the confidentiality of any proprietary information shared by the Client during the course of the project. This includes design concepts, project plans, and any other sensitive material. This obligation will continue beyond the completion of the project.

9. Termination

Either party may terminate the agreement with written notice if the other party fails to fulfill its obligations under these Terms. In the event of termination, the Client will be responsible for payment for any work completed up to the termination date. All paid fees are non-refundable.
ROH reserves the right to suspend or terminate Services if the Client fails to make payments as agreed or otherwise breaches these Terms.

10. Force Majeure

ROH will not be held responsible for failure or delay in performance of any obligation under these Terms if such failure or delay is caused by conditions beyond our reasonable control, including but not limited to natural disasters, governmental actions, or acts of war.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Indonesia, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bali, Indonesia.

12. Amendments

ROH reserves the right to update or amend these Terms at any time. Any changes will be communicated to the Client and will take effect immediately upon posting on the website or notifying the Client directly.

13. Acceptance of Terms

By engaging ROH’s Services, the Client acknowledges and agrees to these Terms and Conditions. A signed agreement or the Client’s initiation of the project (by way of payment of any amount towards ROH) serves as acceptance of these Terms.
